1. About SDSol Technologies
SDSol Technologies LLC ("SDSol", "Company", "we", "us", "our") is a full-service technology studio incorporated in the State of Florida, with its principal place of business at 1200 Brickell Ave STE 1260, Miami, FL 33131. SDSol provides custom software development, mobile application development, IoT software and firmware development, web development, staff augmentation, and related professional technology services directly to clients ("Client", "you") under signed contracts.
SDSol contracts directly with clients to provide professional services. We do not resell third-party subscriptions, act as a marketplace, broker payments on behalf of other merchants, or fulfill orders on behalf of third parties.
2. Services & Scope of Work
All services are delivered under a mutually agreed Statement of Work (SOW) that defines the project scope, deliverables, acceptance criteria, timelines, milestones, and payment schedule. No work commences without a signed SOW. Any changes to the agreed scope require a written Change Order signed by both parties.
SDSol's IoT-related services are limited to software design, firmware development, and product prototyping. Physical manufacturing and hardware logistics are handled under separate agreements where applicable and are not included in standard SDSol service engagements.
3. Payment Terms
Payment is structured as milestone-based invoices as defined in the SOW. Standard payment structure includes a discovery/consultation fee, a project deposit (typically 25–50% of total project value), milestone invoices upon completion and acceptance of each deliverable, and a final payment upon project delivery. All invoices are due within the payment terms stated in the SOW (typically Net 7 or Net 15).
Late payments may be subject to a 1.5% monthly interest charge. SDSol reserves the right to pause work on any project with outstanding unpaid invoices beyond 15 days past due.
4. Client Responsibilities
The Client agrees to: (a) provide timely feedback and approvals at each project milestone; (b) supply all required content, assets, credentials, and third-party access necessary for project completion; (c) designate a primary point of contact authorized to make project decisions; (d) review and accept or reject deliverables within the timeframe specified in the SOW (typically 5–10 business days). Delays caused by the Client's failure to fulfill these responsibilities may result in revised project timelines and additional costs.
5. Intellectual Property
Upon receipt of full payment for all project milestones, SDSol assigns to the Client all rights, title, and interest in the custom deliverables created specifically for the Client under the SOW. SDSol retains ownership of all pre-existing intellectual property, frameworks, libraries, tools, and methodologies used in the development process. SDSol may use general knowledge and skills gained during the engagement for other projects.
6. Confidentiality
Both parties agree to maintain the confidentiality of the other party's proprietary information and not to disclose it to third parties without prior written consent. This obligation survives the termination of the engagement.
7. Limitation of Liability
SDSol's total liability for any claim arising out of or related to services provided shall not exceed the total fees paid by the Client for the specific project giving rise to the claim. SDSol is not liable for indirect, incidental, consequential, or punitive damages.
8. Dispute Resolution
In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Miami-Dade County, Florida, under the rules of the American Arbitration Association. These Terms are governed by the laws of the State of Florida.
